Introduction
The chatbot service offered by Saturday Noon Live Pvt. Ltd. (“Service”) is an AI-based chatbot platform powered by OpenAI technology. The Service is intended to provide a conversational experience to the users in various use cases such as cooking, education, travel planning, etc. The Service is accessible through various communication channels like websites, mobile applications, messaging platforms, etc.

Purpose
The purpose of this Terms and Conditions document is to outline the rules and regulations that govern the use of the Service by users.

Eligibility
The Service is only intended for use by individuals who are at least 18 years of age. By using the Service, you represent and warrant that you are 18 years of age or older and that you have the legal capacity to enter into this agreement.

Subscription and Fees
The Service is available for a fee. The fees are subject to change at any time, and any such changes will be reflected on the Service’s pricing page. The Service will automatically renew at the end of the subscription period unless you cancel the subscription before the renewal date.

Content

You retain all rights in, and are solely responsible for, the User Content you make available through the Service. Ltd.'s business and on third-party sites and services), without further notice to or consent from you, and without the requirement of payment to you or any other person or entity.

The Service is provided “as is” and “as available” without warranty of any kind. Saturday Noon Live Pvt. Ltd. makes no representations or warranties of any kind, express or implied, as to the operation of the Service or the information, content, materials, or products included on the Service.Limitation of Liability
In no event will Saturday Noon Live Pvt. Ltd. be liable for any damages arising from the use of the Service, including without limitation, direct, indirect, incidental, special, punitive, and consequential damages, lost profits, or damages resulting from lost data or business interruption, even if Saturday Noon Live Pvt. Ltd. has been advised of the possibility of such damages.

Indemnification
You agree to indemnify, defend, and hold harmless Saturday Noon Live Pvt. Ltd., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, assigns, content providers, and other representatives from and against any claims, liabilities, damages, judgments, awards, losses, costs, incurred expenses, and attorney's fees arising from or relating to your use of the Service, your violation of these terms and conditions, or your violation of any rights of another. Saturday Noon Live Pvt. Ltd. reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with Saturday Noon Live Pvt. Ltd.'s defense of such claim.

Illegal Purposes
You agree not to use the Service for any illegal or unauthorized purpose. You shall not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright or trademark laws).

Termination
Saturday Noon Live Pvt. Ltd. may, in its sole discretion, at any time terminate or suspend all or a portion of the Service, or your use of all or a portion of the Service, with or without notice and with or without cause.

Changes to Terms and Conditions
Saturday Noon Live Pvt. Ltd. reserves the right to change the terms and conditions of this agreement at any time. Any changes will be posted on the Service and will become effective immediately.

Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of India, and any disputes arising hereunder shall be resolved in the courts located in Bengaluru, India.
Any dispute arising out of, or in connection with, this Agreement, including any question regarding its existence, validity or termination, shall be referred to, and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (“Arbitration Act”) for the time being in force, which rules are deemed to be incorporated by reference. The arbitral tribunal shall consist of a sole arbitrator appointed mutually by the parties to the dispute. The language of the arbitration shall be English, and the venue and seat of the arbitration shall be Bengaluru. The arbitrator shall be entitled to award costs of the arbitration. Subject to the aforesaid, each party to an arbitration shall bear its own expenses in relation thereto, including, but not limited to, such party’s attorney’s fees and expenses, and fees of the arbitrator shall be borne equally by the parties to the dispute. The arbitrator award shall be final and binding on the Parties.

Limitation of Liability
Under no circumstances shall Saturday Noon Live Pvt. Ltd., its affiliates, licensors, or service providers, or its or their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, assigns, content providers, or other representatives be liable for any damages, including without limitation, direct, indirect, incidental, special, or consequential damages, arising from or in connection with the use of the Service, or from any information, services, products, or other materials available through the Service, including without limitation, any liability for damage to your computer hardware, data, information, materials, and business resulting from the information or the lack of information available through the Service, or for any unauthorized access to or alteration of your transmissions or data, or for any other matter relating to the Service.

Disclaimer of Warranty
The Service is provided on an "as is" and "as available" basis, without warranty of any kind, either express or implied, including without limitation any warranty for information, services, uninterrupted access, or products provided through or in connection with the Service, including without limitation the software licensed to you, and the results obtained through the Service. Specifically, Saturday Noon Live Pvt. Ltd. disclaims any and all warranties, including without limitation: 1) any warranties concerning the availability, accuracy, use, or results of use of the Service or any information published on the Service, and 2) any warranties of merchantability or fitness for a particular purpose.

Entire Agreement
These terms and conditions constitute the entire agreement between you and Saturday Noon Live Pvt. Ltd. regarding the use of the Service. If any provision of these terms and conditions is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

No Resale of Service
You agree not to reproduce, duplicate, copy, sell, trade, or resell the Service for any purpose.

By using the Service, you acknowledge that you have read and understood these terms and conditions and agree to be bound by them.
